1. Acceptance of Terms
By creating an account, accessing, or using the Enplace platform ("the Service"), you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity (such as a restaurant or restaurant group), you represent that you have the authority to bind such entity to these Terms.
2. Business Use and Disclaimer
Enplace is intended for use by professional kitchens and restaurant teams. It is a coordination and management tool designed to assist with operational efficiency.
The Service does not replace professional food safety procedures, regulatory compliance requirements, or direct operational oversight. Users are solely responsible for ensuring that their kitchen operations meet all local health, safety, and labor regulations.
3. Eligibility
The Service is intended for professional business use. You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding contract and are not barred from doing so under any applicable law.
4. Account Registration and Security
To access the Service, you must register for an account via our identity provider, Clerk. You agree to provide accurate, current, and complete information. You are responsible for safeguarding your credentials and for all activities that occur under your account. Enplace uses Row Level Security (RLS) and encryption (TLS/AES-256) to protect your data, but you must notify us immediately of any unauthorized use.
5. Workspace Creation and Membership
The Service operates on a multi-tenant "Workspace" model where each workspace represents a physical restaurant or kitchen location.
- Workspace Ownership: The user who creates a workspace is the Workspace Owner and is responsible for all Billing and Administrative actions.
- Members and Roles: Owners may invite team members to a workspace. Roles (Owner, Controller, Operator) define specific permissions within the workspace.
- Shared Responsibility: Owners are responsible for the conduct of invited members and for ensuring they comply with these Terms.
6. Platform License
Subject to your compliance with these Terms, the Service operator grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business kitchen operations.
7. Acceptable Use and Prohibited Activities
You agree to use Enplace only for its intended purpose. The following activities are strictly prohibited:
- Isolation Bypass: Attempting to bypass multi-tenant isolation or access data belonging to other kitchen workspaces.
- Reverse Engineering: Reverse engineering, decompiling, or attempting to extract the source code of the Service.
- Data Extraction: Scraping, crawling, or any automated extraction of data from the platform.
- Security Compromise: Distributing malware, viruses, or any code of a destructive nature.
- Service Disruption: Participating in denial-of-service (DoS) attacks or interfering with platform integrity.
- API Abuse: Excessive or unauthorized use of platform APIs outside of provided client interfaces.
- Resource Misuse: Using the Service for cryptocurrency mining or other unauthorized compute-intensive tasks.
- Illegal Content: Storing or transmitting infringing, libelous, harassing, or otherwise unlawful material.
8. User Generated Content (UGC)
"User Content" includes recipes, menu data, task descriptions, and inventory records uploaded by you.
- Ownership: You retain all ownership rights in your User Content.
- License: You grant the Service operator a worldwide, royalty-free license to host, store, and process your User Content solely for the purpose of providing the Service to you and your team.
9. Intellectual Property
The Enplace name, logo, software architecture, UI design, and all code are the exclusive property of the Service operator and its licensors. Nothing in these Terms transfers any proprietary rights to you.
10. Service Availability and Modifications
The Service operator may update, modify, or discontinue features of the platform from time to time to improve functionality, security, or performance. We will make reasonable efforts to notify users of significant changes that affect core platform functionality.
11. Operational Reliability
While we strive to maintain reliable service availability for your kitchen operations, Enplace may occasionally experience maintenance windows, period updates, or third-party outages. You acknowledge that the Service operator is not liable for operational disruptions caused by infrastructure downtime.
12. Third-Party Services
The Service relies on third-party infrastructure: Vercel (Hosting), Supabase (Database), Stripe (Payments), Sentry (Monitoring), and PostHog (Analytics). Your use is also subject to their respective terms.
13. Billing and Payments
Subscriptions are managed via Stripe. For detailed terms, please see our Billing & Subscription Terms.
14. Suspension and Termination
We may suspend or terminate access if: (a) you violate these Terms; (b) you fail to pay fees; or (c) your use creates a security risk. Upon termination, you lose access to Workspace data.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
17. Indemnification
You agree to indemnify and hold harmless the Service operator from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your User Content.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction where the service operator resides. Any disputes shall be resolved through binding arbitration in that jurisdiction, except for intellectual property enforcement.
